B2B Contracts Exclusively
These General Terms of Sale apply exclusively to business relationships between professionals. They are governed by French law. Any order or signed quote implies full and unconditional acceptance.

Art. 1 — Purpose & Definitions

StratAds offers tracking audit, Server-Side implementation, and monthly monitoring services exclusively for professional clients (B2B). These General Terms cancel and replace any prior agreement.

• Audit: investigation of the existing data collection infrastructure.
• Implementation: creation and deployment of a tracking architecture (Web & Server-Side).
• Monitoring: recurring maintenance, data flow supervision, and technical updates.
• Data Leak: any loss or alteration of data between the client's platforms and advertising networks.

Art. 2 — "Zero Data Leak" Guarantee (Audit Only)

If, upon completion of the audit, the client's infrastructure is technically flawless and shows no data leaks, the audit is fully refunded. The guarantee is voided upon the discovery of at least one of the following flaws:

• Active alerts in ad network diagnostics (Google Ads, Meta…).
• EMQ (Event Match Quality) score below 8/10 on Meta.
• Duplicated events or missing Event IDs.
• sGTM configuration that is non-existent, defective, or bypassed by AdBlockers / ITP.
• Absence or improper configuration of Google Consent Mode V2.
• Any other technical flaw resulting in a proven loss of First-Party Data.

Art. 3 — Client Obligations & Cooperation

The client agrees to provide all necessary access (GTM, DNS, CMS, ad networks, CMP) within 5 business days following the signing of the quote. Any prolonged delay beyond 15 calendar days attributable to the client may incur immobilization fees of €150 excluded taxes/day, following a formal notice that remains unheeded. The client agrees not to contract directly with StratAds' subcontractors for 12 months following the end of the collaboration.

Art. 4 — Validation & Deliverable Acceptance

Upon deployment to production, the client has 7 calendar days to report any dysfunctions in writing. After this period, without any written reservations, the service is deemed tacitly accepted and compliant, and the remaining balance becomes immediately due.

Art. 5 — Financial Terms & Payment

• Audit: 100% upon ordering. Investigations begin after full receipt of payment. Refundable if 0 data leaks are found (see Art. 2).
• Implementation (One-Shot): 50% upon signing the quote. Work begins upon receipt. 50% due upon production deployment.
• Monitoring (Subscription): Monthly billing via SEPA or credit card. 3-month minimum commitment. Rates subject to annual revision with a 30-day notice.
• Penalties & Suspension: Late payment: 3× the legal interest rate + €40 fixed indemnity. Persistent non-payment: immediate suspension of tracking servers.

Art. 6 — Limitation of Liability

StratAds operates under a best-efforts obligation. StratAds' liability is capped at the amounts actually paid under the current contract. StratAds cannot be held liable for:

• The client's commercial or marketing results.
• Unilateral decisions from third-party platforms (Meta, Google, Apple, TikTok…): bans, API updates, new browser privacy rules.

Art. 7 — Intellectual Property & Reversibility

The client remains the exclusive owner of their First-Party Data. Configurations carried out during the implementation phase belong to StratAds until full payment of the balance. In the event of subscription termination, StratAds transfers the complete ownership of the GTM containers to the client within 10 business days following the end of the notice period.

Art. 8 — Confidentiality & Non-Solicitation

Both parties agree to keep exchanged information (financial data, strategies, technical documents) confidential without time limitation. The client agrees not to solicit StratAds' employees or subcontractors for 12 months following the end of the contract.

Art. 9 — Personal Data (GDPR)

StratAds acts as a technical Data Processor as defined by GDPR. The client serves as the Data Controller and guarantees the lawfulness of the data collection. StratAds commits to: hosting servers within the European Union, utilizing SHA-256 encryption for all PII data, and never transferring client data to third parties.

Art. 10 — Subcontracting

StratAds may use subcontractors to perform its services. StratAds remains the client's sole point of contact and assumes complete technical liability for the deliverables.

Art. 11 — Force Majeure

No party can be held liable for a breach resulting from an act of force majeure (Art. 1218 French Civil Code). The affected party must notify the other within 48 hours. If the situation persists beyond 30 days, either party may terminate without penalty.

Art. 12 — Commercial Reference

StratAds is authorized to cite the client's name and logo as a commercial reference, unless expressly refused in writing upon signing the quote.

Art. 13 — Termination

• One-Time Services (Audit & Implementation): ends automatically upon delivery and full payment. No notice required.
• Monitoring: indefinite duration with a 3-month minimum commitment. Termination via email with acknowledgement of receipt to stratads.france@gmail.com, with a 30-day notice. Infrastructure is maintained and billed during the notice period.

Art. 14 — Governing Law & Jurisdiction

These General Terms are governed by French law. In the event of a dispute, and following an attempt at amicable resolution, exclusive jurisdiction is assigned to the Commercial Court of Créteil.

Art. 15 — Entirety & Modifications

These Terms constitute the entire agreement between the parties relative to its subject matter. StratAds reserves the right to modify them; the applicable version is the one distributed at the signing of the quote. The invalidity of one clause does not invoke the invalidity of the others.
